Terms and Conditions

These Terms of Service ("Terms") govern your access to and use of the Horizon mobile application and any related services (collectively, the "Service"), operated by Tract Entertainment LLC ("we," "us," or "our"). Please read these Terms carefully. By using the Service, you agree to be bound by them.

1. Acceptance of These Terms

By creating an account, accessing, or using Horizon, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of the Service

Horizon is an entertainment tracking and social application. It lets you:

  • Track, rate, and review movies, TV shows, music, and games;

  • Follow other users and build a social graph;

  • Post reviews, comments, and Club posts;

  • Join and participate in Clubs (group spaces);

  • Send and receive direct messages;

  • Optionally connect external services (such as Apple Music) and optionally find friends already on Horizon.

We may add, change, or remove features at any time. The Service relies on third-party metadata providers for catalog information (see Section 9).

3. Accounts & Eligibility

3.1 Minimum Age

You must be at least 13 years old to use Horizon. By creating an account, you represent that you are 13 or older. If we learn that a user is under 13, we will terminate the account and delete associated data. Some jurisdictions may require a higher minimum age; you are responsible for complying with the laws that apply to you.

3.2 Registration

You can create an account with an email address and password, or with Sign in with Apple. You agree to provide accurate information (including your email, name, and username) and to keep it current.

3.3 Account Security

You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at bcusick@tractentertainment.com if you suspect unauthorized use. We are not liable for losses arising from your failure to protect your account.

3.4 One Person, One Account

Accounts are for individual use. You may not share, sell, or transfer your account, or impersonate another person or entity.

4. User Content & License

4.1 Your Content

"User Content" means anything you submit through the Service — reviews, ratings, comments, Club posts, direct messages, profile information, and uploaded photos (such as avatar and header images). You retain ownership of your User Content.

4.2 License to Us

You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, adapt (for example, resizing images), and distribute your User Content solely to operate, provide, and improve the Service. For public content (such as reviews, comments, and Club posts), this license extends to displaying that content to other users as the feature intends. For private content (such as direct messages), the license is limited to delivering and storing the messages between participants and to safety, moderation, and legal-compliance purposes. This license ends when you delete the content or your account, except as described in Section 10 and except for copies retained in routine backups or as required by law.

4.3 Your Responsibility

You represent that you own or have the necessary rights to your User Content and that it does not violate these Terms or any law or third-party right.

5. Community Guidelines & Zero-Tolerance Policy

Horizon has zero tolerance for objectionable content and abusive behavior. This section is a binding part of these Terms. By using the Service you agree to follow these guidelines, and you acknowledge that violations may result in immediate content removal and account termination.

5.1 Prohibited Content & Conduct

You may not post, send, or share content, or engage in conduct, that:

  • Is harassing, bullying, threatening, hateful, or that targets or demeans a person or group based on race, ethnicity, national origin, religion, disability, age, sex, gender identity, or sexual orientation;

  • Is sexually explicit, pornographic, or involves the sexual exploitation of any person, especially minors;

  • Is violent, gory, or promotes or incites violence, self-harm, or terrorism;

  • Is defamatory, obscene, or otherwise objectionable;

  • Harasses, stalks, intimidates, dox​es, or invades the privacy of any individual;

  • Is spam, a scam, or a deceptive, fraudulent, or manipulative scheme;

  • Is illegal or promotes illegal activity.

5.2 Reporting Tools

Every user has tools to keep the community safe. From the ••• (more) menu on profiles, reviews, comments, Club posts, and messages, you can Report content or users you believe violate these guidelines. Reports are reviewed by our moderation team.

5.3 Blocking

From the same ••• menu, you can Block any user. Blocking prevents that user from interacting with you, including following you, messaging you, and (where applicable) seeing your activity.

5.4 Our Commitment to Act

We review reports and take action against violating content and users — including removing content and ejecting or banning users — typically within 24 hours of a report. We do not tolerate abusive users. We may act on violations whether or not they are reported, at our discretion, and may remove content or suspend accounts without prior notice when we believe it necessary to protect users or comply with the law.

5.5 No Tolerance Means No Tolerance

Accounts that engage in the prohibited conduct above — particularly harassment, hateful conduct, or sexual content involving minors — may be permanently banned, and we may report unlawful activity to the appropriate authorities.

6. Clubs

Clubs are group spaces where members post and discuss. If you create or administer a Club:

  • You are responsible for moderating content within your Club consistent with Section 5;

  • We may remove a Club, its content, or its members for violations of these Terms;

  • Club ownership and administrative roles may be reassigned, anonymized, or removed if an owner's account is terminated or deleted (see Section 10).

Participating in a Club does not exempt any post from our Community Guidelines or moderation.

7. Prohibited Conduct (General)

In addition to Section 5, you agree not to:

  • Access the Service through unauthorized means, or interfere with or disrupt its operation, servers, or networks;

  • Probe, scan, or test the vulnerability of the Service, or breach security or authentication measures;

  • Use bots, scrapers, or other automated means to access or collect data from the Service without our written permission;

  • Reverse engineer, decompile, or attempt to extract source code, except where permitted by law;

  • Misuse the find-friends feature, contact data, or any other feature to harvest information about users;

  • Use the Service to violate any law or the rights of any third party.

8. Intellectual Property

The Service, including its software, design, logos, and original content (excluding User Content and third-party metadata), is owned by Tract Entertainment LLC and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms. All rights not expressly granted are reserved.

9. Third-Party Services & Data

Horizon displays catalog and metadata from third-party providers, and may let you optionally connect third-party accounts:

  • TMDB — movie and TV metadata, cast/crew, and images;

  • JustWatch (via TMDB) — streaming availability information;

  • Apple Music Catalog API — music metadata. You may optionally connect your own Apple Music account to import only the artists you follow or favorite. Horizon never imports your songs, playlists, or listening history;

  • IGDB / Twitch — video-game metadata;

  • Supabase — backend, authentication, and hosting.

These providers have their own terms and policies, which govern your use of their content and services. We do not control and are not responsible for third-party services. Product names, artwork, and trademarks belong to their respective owners; their appearance does not imply endorsement.

10. Termination & Account Deletion

10.1 Your Right to Delete

You can delete your account at any time from Settings within the app. Deletion removes your authentication record and cascades to the data you own. Public content you authored, such as direct-message bodies and Club ownership, is anonymized rather than always erased, so that conversations and Clubs others participate in remain coherent. See the Privacy Policy for details.

10.2 Our Right to Suspend or Terminate

We may suspend or terminate your access at any time, with or without notice, if you violate these Terms (including the Community Guidelines), if required by law, or to protect the Service or its users.

10.3 Effect of Termination

Upon termination, your right to use the Service ends. Sections that by their nature should survive — including content license terms for retained/anonymized content, intellectual property, disclaimers, limitation of liability, and governing law — survive termination.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, error-free, or that catalog metadata or streaming-availability information will be accurate or complete. You use the Service at your own risk.

We are not responsible for User Content created by other users. While we moderate per Section 5, we cannot review all content and do not endorse any User Content.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Tract Entertainment LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Tract Entertainment LLC from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your User Content, your use of the Service, or your violation of these Terms or any law or third-party right.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Effective date" above and, where appropriate, provide additional notice within the app or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law, Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING REQUIRING DISPUTES TO BE RESOLVED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS AND WAIVING YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

15.1 Governing Law

These Terms are governed by the laws of the State of Texas, United States, and by applicable U.S. federal law (including the Federal Arbitration Act), without regard to conflict-of-laws rules.

15.2 Informal Resolution First

Before initiating arbitration, you agree to first email us at bcusick@tractentertainment.com describing the dispute and to give us 30 days to resolve it informally. Most disputes can be resolved this way.

15.3 Binding Arbitration

If a dispute is not resolved informally, you and Tract Entertainment LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court — except as provided in Section 15.6. The arbitration will be conducted in English before a single arbitrator, and the arbitrator's award may be entered as a judgment in any court of competent jurisdiction.

15.4 Class-Action Waiver

You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding. If this class-action waiver is found unenforceable as to a particular claim, that claim — and only that claim — shall be severed and may proceed in court, while all remaining claims proceed in arbitration.

15.5 Your Right to Opt Out

You may opt out of this arbitration agreement (Sections 15.3–15.4) within 30 days of first accepting these Terms by emailing bcusick@tractentertainment.com with your name, the email address on your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms.

15.6 Exceptions

Notwithstanding the above, either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or equitable relief in the state or federal courts located in Texas to protect intellectual-property or proprietary rights. For any matter not subject to arbitration, you agree to the exclusive jurisdiction of the state and federal courts located in Texas, United States.

16. Miscellaneous

  • Entire Agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.

  • Severability. If any provision is found unenforceable, the remaining provisions remain in effect.

  • No Waiver. Our failure to enforce a provision is not a waiver of it.

  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

  • Apple App Store. If you obtained Horizon through the Apple App Store, you acknowledge that these Terms are between you and us, not Apple, and that Apple is not responsible for the Service. Apple is a third-party beneficiary entitled to enforce these Terms against you.

17. Copyright Policy (DMCA Notice & Takedown)

We respect intellectual-property rights and respond to clear notices of alleged copyright infringement under the Digital Millennium Copyright Act ("DMCA").

17.1 Reporting Alleged Infringement

If you believe content on Horizon infringes a copyright you own or control, send a written notice to our Designated Copyright Agent (Section 17.2) that includes:

1. A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;

2. Identification of the copyrighted work you claim has been infringed;

3. Identification of the material you claim is infringing, with information reasonably sufficient for us to locate it (for example, the username and the specific review, comment, Club post, message, or image, and a description);

4. Your contact information — name, mailing address, telephone number, and email address;

5. A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;

6. A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf.

Notices that omit these elements may not be valid or actionable. We may remove or disable access to allegedly infringing material upon receipt of a compliant notice.

17.2 Designated Copyright Agent

17.3 Counter-Notification

If you believe your content was removed or disabled by mistake or misidentification, you may send a counter-notification to the Designated Copyright Agent that includes: your physical or electronic signature; identification of the material that was removed and the location where it appeared before removal; a statement, under penalty of perjury, that you have a good-faith belief the material was removed as a result of mistake or misidentification; and your name, mailing address, and telephone number, together with a statement that you consent to the jurisdiction of the federal district court for your judicial district (or, if outside the United States, any judicial district in which we may be found) and that you will accept service of process from the person who filed the original notice. After a valid counter-notification, we may restore the material as permitted by the DMCA unless the original complainant files a court action seeking to restrain the activity.

17.4 Repeat Infringers

In appropriate circumstances and at our discretion, we will disable or terminate the accounts of users who are repeat infringers.
